Terms of Service

These Terms of Service govern every purchase from Simply Ingredients. The full terms below control, but here is what matters most:

  • All sales are final. We do not issue refunds. For eligible issues, we replace the product or, at our discretion, issue store credit.
  • Delivery dates are estimates. Transit times shown at checkout come from the carrier and are not guaranteed. A late delivery is not grounds for a credit or replacement.
  • Shipments are insured. If the carrier loses or damages your package, we file the claim and replace your order once the claim is processed.
  • Report problems within 5 days of delivery. Keep the box and packing material and send photos. After 5 days, we cannot help.
  • You can cancel until your order ships. Your card is authorized at checkout and charged only after we review and approve your order. Once an order ships, it cannot be canceled.
  • Test before you scale. Buy a small quantity and evaluate it in your formula before ordering larger amounts.
  • Check the COA and SDS before you buy. Each product page has the Certificate of Analysis for the lot we are shipping and the Safety Data Sheet. Please review both before purchasing.
  • Online courses are for your personal learning. Course access can't be shared, and course materials can't be copied or redistributed.
  • We respond as soon as we are able. Messages are answered on business days, in the order received. Check your spam folder for our replies.
  • Contact us before disputing a charge. We will work with you through the claim process.
Agreement to These Terms

Last updated: October 1, 2026

This website is operated by Simply Ingredients. Throughout these terms, "we," "us," and "our" refer to Simply Ingredients, and "you" refers to anyone who visits our site or buys from us.

By checking the box at checkout, placing an order, accessing an online course, or using our website, you agree to these Terms of Service, including our Privacy Policy, which is incorporated by reference. You also confirm that you had a reasonable opportunity to review these terms before purchasing. If you do not agree, please do not use our site or place an order. These terms apply to every order, including physical products and online courses, unless we have agreed to different terms with you in a separate signed writing.

These terms take precedence over any conflicting terms on a purchase order or other document you send us. Any information we provide, including Safety Data Sheets, Certificates of Analysis, product pages, and email correspondence, is provided subject to these terms.

By agreeing to these terms, you represent that you are at least the age of majority in your state or province of residence.

You can review the current version of these terms at any time on this page. We may update them by posting changes to our website. The version in effect when you place an order governs that order.

Customer Communication

We read and respond to messages on business days, Monday through Friday, excluding holidays, in the order received. We respond as soon as we are able. Response times vary with staffing and with which member of our team is best suited to answer your question, and questions that need research may take longer. We do not guarantee a specific response time. Sending multiple messages about the same issue does not speed up our response.

Claim deadlines in these terms are based on when you send your message, not when we reply. The best way to reach us is by email at create@simply-ingredients.com or through our contact form. Our replies sometimes land in spam or promotions folders, so please check there before following up.

We are glad to help, and we ask that all communication with our team be respectful. We reserve the right to stop responding to, and to refuse service to, anyone who is abusive, threatening, or harassing.

Safety & Regulatory Disclaimer

Simply Ingredients is a retailer of cosmetic ingredients used in skin care, hair care, body care, soaps, and home goods such as cleansers and candles. All ingredients are intended for external use only and should not be consumed.

The FDA has not evaluated our website, social media, or any other materials. Information from our website, social media, or any other materials is not intended to diagnose, treat, cure, or prevent any disease.

You are responsible for understanding and complying with all laws and regulations that apply to your use of our ingredients, including proper storage, usage, formulation, labeling, marketing, and sale.

By purchasing and using ingredients from Simply Ingredients, you agree that you are knowledgeable about the safety and regulatory parameters for each ingredient you purchase. Simply Ingredients is not liable for any issues that arise from improper handling, storage, or use. You assume all product liability for the finished products you make with ingredients purchased from us.

Usage rates on our product pages are typical ranges drawn from manufacturer or industry references. They are not safety limits or a recommendation for your product, and we do not set maximum use levels for any application. We also do not interpret COA results for your formula or advise whether an impurity level, such as a heavy metal result, is acceptable for your product. Determining suitable use levels and whether your finished product is safe and compliant is part of your own product safety assessment. If you need information we cannot provide, you are responsible for obtaining it through your own qualified laboratory or safety assessor.

Safety Data Sheets

A Safety Data Sheet (SDS) for each ingredient is available through a link on its product page. We do not include printed SDSs in shipments.

By placing an order, you acknowledge that you have accessed, reviewed, and saved the SDS for each ingredient you purchase before buying it, and that you will follow it when storing, handling, using, and disposing of the ingredient. The information in each SDS is provided subject to both these terms and the provisions of the SDS itself.

Disposal

Disposal guidance for each ingredient is in Section 13 of its Safety Data Sheet. We believe in producer responsibility. If you cannot dispose of an ingredient safely, please contact us and we will arrange safe disposal for you.

Patents & Third-Party Intellectual Property

We do not conduct patent searches or freedom-to-operate reviews for our ingredients, our recipes, or the ways you use them. We make no representation that any ingredient, formula, claim, or use is free of third-party patents, trademarks, or other intellectual property rights. You are responsible for your own freedom-to-operate review before making or selling products, and we do not defend or indemnify you against third-party intellectual property claims. Nothing on our website or in our courses is permission, a recommendation, or an inducement to practice any patented invention without the patent owner's permission.

Quality Control and Certificates of Analysis

We quality-check every incoming batch and evaluate it against the physical and chemical parameters on the manufacturer's Certificate of Analysis (COA). Where it applies, we also run microbiological testing on the batch and report the results on the COA. The COA for the lot we are currently shipping is posted on each product page, and it is the lot you will receive. Please review it before you purchase. We do not include printed COAs in shipments. If the lot changes before your order ships, we will provide the COA for your lot on request.

Sourcing and Supplier Confidentiality

Simply Ingredients is a reseller. We source our ingredients from manufacturers and distributors, and the identity of our suppliers is confidential business information. Some suppliers do not permit us to disclose their names. We are not obligated to disclose our sources or to provide documentation issued directly by a manufacturer.

The technical documentation we offer for an ingredient, such as its COA, SDS, and specifications, is listed on its product page. We may provide additional documentation at our discretion, which may be issued under our name or with supplier details removed.

Documentation is limited to what manufacturers make available to us and the testing reported on our COA. If a document is not listed on the product page and is not available on request, it is because we cannot obtain it. We do not prepare safety assessments, toxicological evaluations, or other documents that are the responsibility of the finished-product manufacturer, and we do not perform additional testing on request beyond what is reported on the COA.

Animal Testing

Simply Ingredients does not conduct or condone animal testing of ingredients for cosmetic purposes, and we have not asked our manufacturers to do so. Nearly every ingredient, including water, has historically been tested on animals. We recognize this and look to the future. We follow the animal testing provisions of European Cosmetics Regulation (EC) No 1223/2009, which does not permit animal testing of cosmetic ingredients after March 11, 2009, the industry-standard cutoff date for non-animal-testing compliance.

We support customers pursuing cruelty-free certification. For ingredients you have purchased from us, we will complete supplier declarations or questionnaires required by certification programs, based on the information our manufacturers make available to us. We complete declarations only for ingredients you have actually purchased from us. Please email your request with your order number to create@simply-ingredients.com.

Batch-to-Batch Variation

Many ingredients, especially natural and botanical materials, vary naturally from one lot to the next. Color, odor, texture, and appearance may differ between batches while remaining within the manufacturer's specifications. Variation within specification is not a defect.

We make every effort to display product colors and images accurately, but we cannot guarantee that your screen will show any color exactly.

Formulating and Manufacturing Outcomes

Every formula, process, and set of equipment is different, so we cannot be responsible for formulation or manufacturing outcomes. Results depend on many factors outside our control, including the other ingredients you use, your process, and your storage conditions.

We strongly recommend buying a small quantity first and evaluating it in your formulation for suitability before committing to larger quantities. As with any manufacturing process, lab-scale testing should come before full production. Please evaluate an ingredient before using it in production, because once it has been combined with other materials we can no longer assess its condition as shipped.

We provide extensive technical and how-to-use information on each product page. If you have questions, email us at create@simply-ingredients.com, and please check your spam folder for our reply.

Recipes

The recipes on our website are representative formulations that show how our ingredients can be used. They are not commercial products and have not been tested for performance, efficacy, stability, or safety. Please conduct your own testing. Any claims associated with recipes may not be approved in all jurisdictions.

Orders & Accuracy of Account Information

You agree to provide current, complete, and accurate purchase, shipping, and account information, and to update it promptly so we can complete your order and contact you. We reserve the right to refuse service to anyone, and to refuse, limit, or cancel any order at our discretion. This includes limiting quantities per person, household, account, payment method, or address. If we change or cancel an order, we will attempt to notify you using the email or phone number provided with the order.

Payment

By providing a payment method, you confirm that you are authorized to use it and authorize us to charge it for your order, including product prices, shipping charges, and applicable taxes. When you place an order, we place an authorization on your payment method. We capture (charge) the payment only after we review and approve your order. We may decline any order, including orders that appear fraudulent; if we do, we release the authorization and you are not charged. You authorize us to share the information needed to process your payment with our payment processors. All prices are in U.S. dollars.

Sales Tax and Tax Exemption

We collect sales tax on orders shipping to jurisdictions where we are required to by law. Those jurisdictions may change at any time, and any tax due is calculated at checkout based on your shipping address.

If you are exempt from sales tax in a jurisdiction where we collect it, for example because you are buying for resale, email your resale certificate or seller's permit to create@simply-ingredients.com before ordering. Once we review and approve it, the exemption is applied to your customer account, and you must be logged in to that account when you order. We cannot refund tax charged on orders placed before your exemption was approved. If tax should have been collected on an order and was not, we may charge it after the sale.

Availability & Partial Shipments

Product availability is not guaranteed and may change while you shop. If an item is unavailable when we review your order, we will notify you by email and remove it before capturing payment, so you are not charged for it. If payment for that item has already been captured, you may choose store credit; if you prefer, we will refund that item to your original payment method.

We may ship the items in your order separately based on availability. Each shipment is a separate sale, and you are responsible for paying for each item shipped, whether the shipment fills all or part of your order.

Pricing and Errors

Prices and product availability are subject to change without notice due to market fluctuations. The amount due for an order is set at checkout.

Occasionally our site may contain errors in product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any error and to cancel any affected order, even after it has been confirmed and your payment charged. If we cancel an order that has been charged, we will refund the amount charged to your original payment method.

Promotions and Discounts

We may offer promotions, discounts, and limited-time offers from time to time. Promotions are not guaranteed to be available when you purchase and may be changed or ended at any time. Promotions cannot be applied to orders placed before the promotion began, and we do not issue price adjustments, credits, or refunds for later price changes.

Cancellation

You may cancel your order at any time before it ships by emailing us at create@simply-ingredients.com. If we have not yet captured payment, we release the authorization and you are not charged. The pending authorization will drop off your statement on a timeline set by your bank or card issuer. If we have already captured payment, the canceled order receives store credit for the full amount paid.

Once an order has shipped, it cannot be canceled.

Shipping Terms

Orders are generally processed within 24 to 48 hours and ship Monday through Friday, excluding holidays. Orders received after 3:00 PM Central Time begin processing the next business day. Processing time may be longer during sales, holidays, and periods of high volume.

Carriers & Shipping Rates

We ship with UPS, USPS, and occasionally FedEx. Shipping charges shown at checkout are calculated by third-party carrier systems and are subject to change. We do not ship Cash on Delivery (C.O.D.) or use customer shipping accounts for retail orders.

From time to time we may offer free shipping on orders over a set value in U.S. dollars, for orders shipping within the United States and Puerto Rico. Free-shipping orders ship by the most economical method we choose, such as USPS Ground Advantage or UPS Ground. If you want a different service, select and pay for it at checkout.

Delivery Dates are Estimates Only

Any shipping, delivery, or transit time shown at checkout, in a confirmation email, or in carrier tracking is an estimate only. These estimates are generated by our e-commerce platform and the carriers, not by us, and they are not guaranteed. For example, a USPS "2-Day" or UPS "3-Day" label describes a typical transit time, not a promise.

Once your package leaves our facility, we have no control over the carrier's handling or delivery speed. Simply Ingredients is not liable for carrier delays, and a delivery that arrives after an estimated date is not grounds for a refund, cancellation, or credit. Shipping charges are not refundable.

Expedited Shipping

Expedited shipping speeds up transit time only. It does not move your order ahead of our processing time, and orders are processed in the order received. If your order is time-sensitive, please plan for both processing and transit time.

Shipping Insurance

We insure our shipments. If a package shipped on our account is lost or damaged in transit, we will file the claim with the carrier or our insurer and replace your order once the claim has been processed. You must report the loss or damage as described under Damage, Missing Items & Incorrect Items.

We reserve the right to require a signature on delivery for any shipment, based on order value, destination, or other factors we choose. If a signature is required and no one is available, the carrier may leave a notice or hold the package for pickup. Packages returned to us as unclaimed are handled under Incorrect Addresses and Returned Packages.

Heat Sensitive Products

We ship from Dallas, Texas, where temperatures can be very hot during parts of the year, and packages may be exposed to high heat inside carrier trucks and facilities. You are responsible for considering current weather, both here and at your delivery address, before ordering temperature-sensitive products such as butters, waxes, and certain actives.

We cannot screen orders for weather before shipping. We recommend avoiding temperature-sensitive products during extreme heat, or choosing an expedited shipping method to shorten time in transit. Even with expedited shipping, products may be exposed to high temperatures. Softening, melting, or separation caused by heat in transit is not considered damage or a defect. Many butters and waxes return to their original form once cooled.

Packages Marked Delivered but Not Received

Carriers sometimes mark a package as delivered before it actually arrives. If tracking shows your package was delivered but you have not received it:

  1. Check around your property and with neighbors, building management, or your mailroom.
  2. Contact your local post office (USPS) or the carrier (UPS or FedEx). Packages often arrive within a few days of the delivery scan.
  3. If you still have not received the package, contact us within 7 business days of the delivery date shown in tracking so we can begin a trace.

A carrier trace can take 1 to 8 business days. If you do not contact us within 7 business days of the recorded delivery date, you accept responsibility for the package and agree not to hold Simply Ingredients liable. We are not responsible for theft or damage that occurs after a carrier marks a package delivered to the address you provided.

Packages Not Delivered

If your tracking has stopped updating or your package has not arrived, please contact us. Carriers require a waiting period before they will declare a package lost. Once the carrier confirms that a package shipped on our account is lost, we will file the claim and replace your order once the claim has been processed.

You must notify us of a package that has not arrived within 30 days of the ship date. After that, we cannot file a claim, and you accept responsibility for the package.

Incorrect Addresses & Returned Packages

Please double-check your shipping address before placing your order. If you give us an incorrect or incomplete address, you are responsible for any additional charges to correct the address, intercept the package, reroute it, or reship it. If a package cannot be delivered because of an incorrect address or missing delivery instructions, the package is considered delivered and any loss is your responsibility.

If a package is returned to us because it was refused, unclaimed, or undeliverable as addressed, we will issue store credit for the cost of the goods minus the original shipping charge, the return shipping charged by the carrier, and a 10% restocking fee. Carrier return charges are often higher than the original shipping charge. We are not responsible for refused, unclaimed, or incorrectly addressed packages that are lost while being returned to us.

International Shipments

We currently ship within the United States, including Alaska and Hawaii, and to Canada and the United Kingdom.

Shipping charges shown at checkout cover transportation only. They do not include import duties, taxes (such as GST, HST, or VAT), customs charges, or brokerage fees, except where the law requires us to collect a tax at checkout, in which case it is shown in your order total. These charges are set by the destination country's government and are usually collected by the carrier or customs authority before or at delivery. International customers are responsible for paying them, and we cannot estimate them in advance.

If an international package is refused or returned because these charges were not paid, it is treated as a refused package under Incorrect Addresses and Returned Packages. Please check your country's import restrictions before ordering.

Returns & Claims

All sales are final, and we do not issue refunds. Because of the quality control standards required for ingredients used in personal care and household products, we do not accept returns of ingredients. The only exceptions are when we cancel an order or cannot fulfill an item, as described under Cancellation and Availability & Partial Shipments.

Damage, Missing Items & Incorrect Items

Please inspect your package at the time of delivery. If the box is visibly damaged, you may refuse the delivery, or ask the driver to note the damage, and then contact us as soon as possible.

If you find a damaged, leaking, missing, or incorrect item when you unpack your order:

  1. Leave the box and its contents as they are, and save all packing material. The carrier may require it for inspection.
  2. Take photos of the outside of the box, the packing material, and the affected items.
  3. Email the photos, your order number, and a description of the problem to create@simply-ingredients.com.

All damaged, leaking, missing, or incorrect items must be reported within 5 days of delivery. No exceptions. After 5 days, you accept the order as delivered and agree not to hold Simply Ingredients liable.

If we shipped the wrong item, we will send the correct item. If an item was damaged in transit on our shipping account, we will send a return shipping label if we need the item back, file a claim with the carrier or our insurer, and replace the item once the claim has been processed.

Our packing records at the time of shipment are evidence of the items and quantities shipped.

Your Remedy

For any eligible claim, including damaged, missing, incorrect, or nonconforming products, your sole and exclusive remedy is, at our choice, replacement of the product or, at our discretion, store credit. In no event will our liability for any product exceed the price you paid for it. We do not issue refunds for product claims.

Hard Goods (Packaging, Tools & Supplies)

Hard goods such as packaging and supplies may be returned if you contact us within 5 days of delivery and the item is unopened, unused, and in the same condition you received it. Please contact us for return instructions before sending anything back. Items returned without authorization will not be accepted.

We will notify you once we have received and inspected your return and let you know whether it was approved. Approved returns receive store credit for the price of the item. Return shipping is at your expense.

Sale items and gift cards cannot be returned.

Payment Disputes & Chargebacks

If you have a problem with an order, you agree to contact us first and follow the claim process in these terms before disputing a charge with your bank, card issuer, or payment provider. Most issues can be resolved quickly through our claim process.

If you file a chargeback or payment dispute, we may provide your payment provider with your order details, shipping and tracking records, our correspondence with you, and a record of your acceptance of these terms at checkout. A late delivery, or an issue not reported within the deadlines in these terms, is not a valid reason for a chargeback.

If a chargeback or dispute is resolved in our favor, you remain responsible for the full purchase price and any fees or costs we incur because of the dispute.

We reserve the right to refuse future orders from any customer who files a chargeback or dispute that is resolved in our favor, or who files one without first contacting us.

Online Courses

We offer on-demand video courses on formulating, regulations, and working with cosmetic ingredients. These terms apply to every course, including free courses (apart from the parts about payment).

Course Sales are Final

Each course page describes what the course covers and who it is best suited for. Because you receive full access to a course the moment you purchase it, all course sales are final and we do not offer refunds on courses. If you have trouble accessing a course you purchased, email us and we will help.

Your Access and Account

Your purchase gives you a personal, non-transferable license to watch the course and use its materials for your own learning. A course remains available to you for as long as we offer it. We may update or add to courses over time, and updates are included.

Your course account is for you alone. Do not share your login, password, or sign-in codes, and keep them confidential. Let us know right away if you believe someone has accessed your account without permission.

We may review account activity, and we may limit, suspend, or remove access to an account that appears to be shared, without refund. If your team would like to learn together, each person needs their own purchase.

Using Course Materials

Course videos, slides, workbooks, formulas, and other materials belong to Simply Ingredients. They are for your personal learning only. You are welcome to use what you learn to develop your own products.

Without our written permission, please do not copy, record, screen-capture, download, upload, resell, share, excerpt, or distribute course materials, and do not use them to teach or train others. Changing or adapting course materials does not give you ownership of them or the right to share or sell them. If these terms are not followed, we may limit, suspend, or remove your access without refund.

Results & Responsibility

Our courses share methods and experience that have worked for our educators. Your results will depend on many factors, including your ingredients, equipment, process, and how you apply what you learn. We cannot promise any particular outcome, such as a stable or effective formula, product performance, sales, or income.

Course content is for educational purposes only. It is not medical, legal, or regulatory advice and is not meant to diagnose or treat any condition. You remain responsible for testing your formulas, including for stability, preservation, and safety, and for following the laws that apply to making, labeling, and selling your products.

Regulatory Content

Some courses cover regulatory topics, such as labeling, ingredient restrictions, product claims, and registration or reporting requirements. This content is general education, not legal or regulatory advice, and it does not create a consulting or attorney-client relationship.

Regulations differ by country and state and change often. Course content reflects our understanding when the course was recorded and may not reflect later changes. Before you rely on it, verify current requirements with the relevant authority or a qualified regulatory or legal professional. You remain solely responsible for your products' compliance.

Any regulatory support services we offer outside of our courses are provided under a separate written agreement, which governs those services.

Terms of Use

You may not use our website or products for any illegal or unauthorized purpose. You may not use our site or its content to:

  • violate any law or regulation, or solicit others to do so
  • infringe our intellectual property rights or anyone else's
  • harass, abuse, threaten, defame, or discriminate against anyone
  • submit false or misleading information, or impersonate anyone
  • upload or transmit viruses or other malicious code
  • collect or track the personal information of others
  • spam, phish, scrape, crawl, or interfere with the security or operation of the site

We may suspend or end your use of our site, and refuse future orders, if you violate these terms.

Accuracy of Information

We work hard to keep the information on our site accurate, but we do not guarantee that it is complete, current, or error-free. Information on our site is provided for general reference and should not be the sole basis for your formulation, regulatory, or business decisions.

Reviews and Submissions

Reviews, testimonials, ideas, suggestions, feedback, and other materials you send us, including product and course reviews, are not confidential. You give us a royalty-free, perpetual license to use, display, edit, and publish them in any medium, including with the name you provided, without compensation to you. We may remove reviews that are abusive, off topic, or not about the product or course. You are responsible for anything you submit and agree that it will not violate anyone's rights or contain unlawful or harmful content.

Third Party Links

Our site may link to third-party websites. We do not control and are not responsible for their content, products, services, accessibility, or policies. Please review a third party's terms before doing business with them.

Personal Information

Your submission of personal information through our store is governed by our Privacy Policy.

Legal Terms
Disclaimer of Warranties

We warrant only that the products we ship will conform to their description on your order. Except for that warranty, our website and all products are provided "as is" and "as available," without any other warranty, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any product will meet your expectations or perform in your formulation, or that our website will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by law, Simply Ingredients and our owners, employees, agents, contractors, suppliers, and service providers are not liable for any indirect, incidental, special, consequential, or punitive damages. This includes lost profits, lost revenue, lost product, wasted materials or batches, and damage to business reputation, arising from your use of our website or any product, even if we were advised of the possibility of such damages. Our total liability for any claim will not exceed the price you paid for the product involved.

Indemnification

You agree to indemnify, defend, and hold harmless Simply Ingredients and our owners, affiliates, employees, agents, contractors, suppliers, and service providers from any claim, demand, loss, or expense, including reasonable attorneys' fees, arising from your breach of these terms, your violation of any law or third-party right, or the products you make, label, market, or sell using our ingredients.

Force Majeure

We are not responsible for any delay or failure to perform caused by circumstances beyond our reasonable control. These include severe weather, natural disasters, carrier disruptions or service suspensions, supplier shortages, labor disputes, government actions, power or internet outages, pandemics, war, and civil unrest. Our obligations are suspended for as long as the event continues.

Governing Law & Venue

These terms and any order are governed by the laws of the State of Texas, without regard to its conflict-of-law rules, and not by the United Nations Convention on Contracts for the International Sale of Goods. You agree that any legal proceeding arising out of or relating to these terms, our website, or any purchase will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction.

Any claim relating to these terms, our website, or any purchase must be brought within one (1) year after it arises, or it is permanently barred.

Your Rights Under Applicable Law

Some states do not allow certain warranty disclaimers or limitations of liability. Nothing in these terms limits any right you have that cannot be waived or limited under applicable law. In those cases, our liability is limited to the maximum extent the law allows.

Severability, Waiver, and Entire Agreement

If any provision of these terms is found unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted and the rest of these terms will remain in effect. Our failure to enforce any provision is not a waiver of it. Neither a course of dealing nor trade practice modifies these terms. These terms, together with the policies they reference, are the entire agreement between you and Simply Ingredients regarding your use of our website and your purchases.

Notices

We may give you notice by email to the address on your order or account, or by posting it on our website. Email notices are effective when sent, and posted notices are effective when posted. You may give us formal legal notice by certified mail to Simply Ingredients, LEGALINC CORPORATE SERVICES INC., 159 N Wolcott St., Ste 133, Casper, WY 82601 USA. Mailed notices are effective when received.

Assignment

You may not transfer or assign your rights under these terms without our written consent. We may assign our rights and obligations under these terms.

Headings

Headings in these terms are for convenience only and do not define or limit any provision.

Termination

These terms remain in effect until terminated by you or us. If we believe you have violated these terms, we may end this agreement and deny you access to our services at any time without notice, and you remain liable for all amounts due. Obligations and liabilities incurred before termination survive it.
